Terms of Service and End-User Licence Agreement
Effective November 4, 2026
These terms are an agreement between you and Tetra Inspection Inc., a corporation incorporated under the federal laws of Canada (corporation number 1787091-4), with its head office at 407 9 Ave SE, Calgary, AB T2G 2K7, Canada (“Tetra”, “we”, “us”), governing your use of the Tetra Inspection client portal at portal.tetrainspection.com (the “Portal”). By creating an account, signing in, or using the Portal, you agree to them. If you do not agree, do not use the Portal.
If you are using the Portal on behalf of a company, you confirm you are authorised to bind that company, and “you” means both you and that company.
1. What the Portal is, and what it is not
The Portal is software for arranging and managing third-party quality inspections: booking inspections, tracking their progress, receiving reports, and handling the related invoices and payments.
The Portal is not the inspection service itself. The inspection services are governed by our Terms and Conditions and by any signed agreement, Quotation or purchase order between you and Tetra. Everything about the services themselves — fees, invoicing, taxes, late payment, cancellation, claims, liability for the inspection and the use of reports — is set out there, not here. These terms govern the software only. Where they appear to conflict with the Terms and Conditions on any question about the services, the Terms and Conditions govern.
2. Licence
For as long as your account is in good standing, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Portal for your own internal business purposes, in connection with inspection services you purchase from us.
You may not:
- copy, modify, translate or create derivative works of the Portal;
- reverse engineer or attempt to derive its source code, except where law forbids that restriction;
- rent, lease, sublicense, resell or provide the Portal as a service to third parties;
- use it to build a competing product, or to benchmark it for a competitor;
- access it by automated means, scrape it, or place unreasonable load on it, without our written permission;
- remove or obscure any proprietary notice;
- use it unlawfully, or to store or transmit malicious code.
We may suspend access immediately if we reasonably believe use is unlawful, insecure, or materially breaches these terms.
3. Accounts
You must provide accurate registration information and keep it current. You are responsible for everything done under your account and for the confidentiality of your credentials, and must tell us promptly at info@tetrainspection.com if you suspect unauthorised use. Do not share accounts; where the Portal supports multiple users in an organization, each person should have their own.
An organization’s administrators can invite, remove and change the permissions of users in that organization, and can see the data belonging to it.
4. Your data
You keep all rights in the information you submit — booking details, product specifications, supplier information, documents and images (“Your Data”). You grant us a licence to host, process, transmit and display Your Data as needed to operate the Portal, perform the inspection services, and meet our legal obligations.
You confirm you have the right to give us Your Data, including any personal information of your own staff or your suppliers’ staff, and that you have given any notice or obtained any consent required for us to process it as described in our Privacy Policy.
Inspection reports, findings, photographs and related work product produced by Tetra remain our intellectual property. You receive a perpetual right to use them for your own business purposes, including sharing them with your suppliers and customers.
5. Invoices and payment in the Portal
Service Fees, invoicing, taxes, late payment, payment methods and invoice disputes are governed by the Terms and Conditions, not by these terms. This section is only about what the Portal does with them.
- The Portal displays the invoices raised for your orders, and their payment status.
- Where the Portal offers online card payment, it is processed by Stripe. We never see or store your full card details. Your use of that payment method is also subject to Stripe’s terms.
- Where your account is on prepayment terms, the Portal may withhold a report until the corresponding invoice is settled, and may show a hold on your account.
- We may suspend access to the Portal while an account is significantly overdue.
6. Availability
We work to keep the Portal available and reliable, but we do not guarantee uninterrupted access. We may take it down for maintenance, and may change, add or remove features. If we make a change that materially reduces the functionality you rely on, we will give you reasonable notice where we can.
7. Third-party services
The Portal works with third-party services, including payment processing, accounting, mapping and email delivery. Those services are governed by their own terms, and we are not responsible for their acts or omissions. Our Privacy Policy lists the providers we use.
8. Confidentiality
Each party may receive non-public information from the other. Each will use it only to perform under these terms, protect it with at least reasonable care, and not disclose it to others except to personnel and advisers who need it and are bound to keep it confidential. This does not apply to information that is public through no fault of the recipient, was already known to it, was independently developed, or must be disclosed by law.
9. Disclaimers
Except as expressly stated in these terms or in your commercial agreement, the Portal is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
What an inspection does and does not establish — sampling, acceptance criteria, the limits of a report and the decisions that remain yours — is set out in our Terms and Conditions. Nothing in these terms adds to or narrows it.
10. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business or loss of data, even if advised of the possibility.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Portal, whether in contract, tort or otherwise, is limited to the amounts you paid to us for the service giving rise to the claim in the twelve months before the event. Liability for the inspection services is governed by our Terms and Conditions and by its own limit, which this section does not change.
Nothing in these terms limits liability that cannot be limited by law, including liability for fraud, or for death or personal injury caused by negligence.
11. Indemnity
You will defend and indemnify us against third-party claims arising from Your Data, from your use of the Portal in breach of these terms, or from your violation of law or of another person’s rights, and for any resulting damages, costs and reasonable legal fees.
12. Term and termination
These terms apply while you have an account. You may stop using the Portal and ask us to close your account at any time. We may suspend or terminate access if you materially breach these terms and do not fix it within 15 days of notice, if your account is significantly overdue, or if we are required to by law.
On termination your right to use the Portal ends. Sections on your data, fees already owed, confidentiality, disclaimers, limitation of liability, indemnity and governing law survive. We retain records as described in our Privacy Policy, including financial records the law requires us to keep. On written request within 60 days of termination we will provide a copy of Your Data in a reasonable format.
13. Governing law
These terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The courts of Alberta have exclusive jurisdiction, and each party consents to their venue. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14. General
- Entire agreement. These terms, the Privacy Policy, the Terms and Conditions and any signed agreement with us are the entire agreement between us. These terms are the part of it that governs the Portal.
- Severability. If a provision is unenforceable, the rest stays in effect.
- No waiver. Not enforcing a right is not a waiver of it.
- Assignment. You may not assign these terms without our written consent. We may assign them to a successor in a merger, acquisition or sale of assets.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
- Notices. We may give notice through the Portal or by email to your account address.
15. Changes
We may update these terms. The effective date above shows the last revision. For material changes we will give notice through the Portal or by email before they take effect. Continuing to use the Portal after that means you accept the updated terms.
